# Independent strategist review — request and memo protocol

**Status:** REQUEST, NOT A COMPLETED REVIEW

**To:** An existing, independently staffed strategist seat (designated by Scott Welch)
**From:** Confused Gorilla draft author
**Subject:** Critique proposed Confused Gorilla orgdef `0.1.0-draft`
**Action required:** Yes

## Materials

- `governance/orgdef.json`
- `governance/CHARTER.md`
- `governance/validate_orgdef.py` and output
- GitHub issues [#2–#7](https://github.com/scottconfusedgorilla/confused-gorilla/issues/2)
- **Exact commit:** fill in when handing off; do not review a moving branch label.

## Questions for independent review

1. Is shared governance with two divisions appropriately expressed in actual OrgDef semantics? Are the `divisions`, `status`, `authority`, and other extensions valid for the deployed renderer and spec?
2. Are the position relationships meaningful, directed correctly, and consistent with bounded authority? Especially who does Institute QA answer to when examining Labs-derived evidence?
3. Are any seats missing or prematurely declared staffed? How will a real seat claim be authorized and recorded?
4. Is research independence real, or just represented as a sentence? Where are conflicts of interest escalated?
5. Are founder authorship, experimental transparency, disclosure boundaries, and privacy rules adequate?
6. Can charter history, decisions and memos be independently audited after a model/session change?
7. How would you falsify the claim that this organizational structure improves reliability, auditability or oversight costs?

## Required memo

Use the established MemoDef or existing organizational memo workflow. Include: independent reviewer identity and seat; destination; date; exact reviewed Git commit and orgdef version; evidence and severity; findings; recommended changes; `action_required: true`; suggested disposition. Link the durable memo to issue #5.

## Principal disposition

**Pending.** Record decisions for each finding (accept/reject with rationale/defer with owner) before ratification. No memo or approval has been fabricated here.
